ITPeopleNetwork, LLC d/b/a as ("MyGenie") provides the service to you in accordance with and subject to the following terms of use. The following terms of use govern your access to and use of the MyGenie website, including any content, functionality and services offer on or through www.mygenienetwork.com (the "Site"). By visiting, accessing or using any portion of the Site, or services available from the domain and subdomains of www.mygenienetwork.com (the "Site"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use.

Responsibility for Your Data:You are solely responsible for all data, information, and other content, that you upload, post, or otherwise provide or store (hereafter “Posting”) in connection with or relating to the Site.

Reservation of Rights:MyGenie retain all right, title, and interest in and to all intellectual property rights related in and to the Site and Site Services. MyGenie owns and retain all respective rights in and to all logos, company names, marks, trademarks, copyrights, trade secrets, know-how, patents and patent applications that are used or embodied in or otherwise related to the Site and Content. MyGenie grants to rights or licenses (Implied, by estoppel, or otherwise) whatsoever to you under these Terms of Use.

INTELLECTUAL PROPERTY

When you post User Content on the Site or through the Site Services or provide MyGenie with User Content, you understand and acknowledge that you are solely responsible for such User Content. Further, you represent and warrant that you have the right, power, and authority to post that user content without violating the rights of third parties and grant the licenses specified below.

You acknowledge and agree that the poster of User Content, and not MyGenie, is responsible for any User Content including any harms caused to you, another, User, or a third party by such User Content.

You will indemnify, defend, and hold harmless MyGenie (ITPeopleNetwork, LLC) and our respective directors, officers, employees, representatives and agents (Each an “Indemnified Party”) from any and all claims, damages, liabilities, costs, losses, and expenses (including, but not limited to, reasonable attorney’s fees and all related costs and expenses) arising from or relating to any claim, suit, proceeding, demand, or action brought by you or a third party or other User against an Indemnified Party relating to or arising out of any User Content you post.

By posting your information and other content (“User Content”) on or through the Site and Content, you grant MyGenie a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable and transferable license to use, modify, reproduce, distribute, display, public and perform User Content in connection with the Site and Content. MyGenie has the right, but not the obligation, to monitor the Site and Content and User Content. MyGenie may remove or disable any User Content at any time for any reason, or for no reason at all.

Your information must not : (a) infringe any third party's rights, including but not limited to intellectual property, publicity or privacy; (b) be defamatory, trade libelous, threatening or harassing; nor (c) be obscene, indecent or contain pornography. We do not endorse any information posed by Users and we are not liable for any such information posted on the Site, including but not limited to any information posted about you the "User".

You understand that the operation of the Site and Platform, including User Content may be unencrypted and involve transmissions to MyGenie’s third party vendors and hosting partners to operate and maintain the Site and Content. Accordingly, you acknowledge that you bear sole responsibility for adequate security, protection, and backup of User Content. MyGenie will have no liability to you for any unauthorized access or use of any of User Content, or any corruption, deletion, destruction, or loss of any User Content.

Third-Party Intellectual Property

Any information or content expressed or made available by a third party or any other Site "Vendor" or "Visitor" or "User" is that of the respective author(s) or distributor(s) and not of MyGenie. MyGenie neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, information, or statement made on the Site by anyone other than MyGenie authorized agents acting in their official capacities.

The Site contain links to third-party websites. The Site may also contain applications that allow you to access third-party websites via the Site. Such third-party websites or applications are owned and operated by the third parties and/or their licensors. The inclusion of any link or application on the Site does not imply that we endorse the linked site or application. You use the links and third-party websites at your own risk and agree that your use of an application or third-party website accessed via the Site is on an “as is” and “as available” basis without any warranty for any purpose.

Content for which Copyright infringement is Claimed

MyGenie is committed to complying with U.S. copyright and related laws and requires all Site Visitors and Users to comply with these laws. Pursuant to 17 USC. Pursuant to 17 USC. § 512 as amended by Title II of the Digital Millennium Copyright Act, www.mygenienetwork.com has implemented procedures for receiving written notification of claimed infringements and for processing such claims in accordance with the Act. If you believe your copyrights are being infringed by a User of the Site, please fill out a Notice of Infringement form and email at privacy@mygenienetwork.com.

Your Representations and Warranties

You represent and warrant to MyGenie that your activity on the Site and MyGenie’s possession and use of User Content as contemplated in these Terms of Use do not and will not violate, infringe, or misappropriate any third party’s copyright, trademark, right of privacy or publicity, or other personal or proprietary right, nor does User Content contain any matter that is defamatory, obscene, unlawful, threatening, abusive, tortious, offensive or harassing.

Termination of Access Due to Violations

MyGenie may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will cause irreparable harm to MyGenie, for which monetary damages would be inadequate, and you consent to MyGenie obtaining any injunctive or equitable relief that MyGenie deems necessary or appropriate in such circumstances, without limiting MyGenie’s other available remedies. Further, MyGenie may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) discontinuance or material modification of the Site or any service offered on or through the Site, or (3) unexpected technical issues or problems.

NO WARRANTIES AND DISCLAIMER BY MYGENIE

THE SITE AND CONTENT, AND ALL SERVER AND NETWORK COMPONENTS, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITH ALL ERRORS AND DEFECTS AND WITHOUT ANY WARRANTIES OF ANY KIND, AND MYGENIE EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND ANY REPRESENTATIONS OR WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE. YOU ACKNOWLEDGE THAT MYGENIE DOES NOT WARRANT THAT YOUR ACCESS OR USE OR BOTH OF THE SITE AND CONTENT WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR VIRUS-FREE, AND MYGENIE DOES NOT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SITE AND CONTENT. NO INFORMATION, ADVICE, PRODUCT OR SERVICES OBTAINED BY YOU FROM MYGENIE OR THROUGH THE SITE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OF USE AND YOU SHOULD NOT RELY ON THE SITE AND THE GENERAL CONTENT ALONE AS THE BASIS FOR YOUR BUSINESS DECISIONS.

MyGenie reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Site, or any portion of the Site, for any reason; (2) to modify or change the Site, or any portion of the Site, for any reason; and (3) to interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

LIMITED LIABILITY

IN NO EVENT SHALL WE OR OUR THIRD-PARTY SERVICE PROVIDERS BE LIABLE TO YOU OR ANY OTHER REGISTERED USER FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES PURSUANT TO THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANY OTHER PROVISION OF THIS AGREEMENT, IN NO EVENT WILL OUR LIABILITY TO YOU FOR ANY ACTION OR CLAIM RELATED TO THE SITE SERVICES PROVIDED UNDER THESE TERMS OF USE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE OR ANY OTHER THEORY OF LIABILITY, EXCEED THE GREATER OF: (A) $100 OR (B) THE AGGREGATE AMOUNT OF MONIES ACTUALLY COLLECTED BY US FROM YOU FOR THE SERVICES TO WHICH THE LIABILITY RELATES DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE DETERMINATION OF SUCH LIABILITY. SOME STATES AND JURISDICTIONS DO NOT ALLOW FOR ALL THE FOREGOING EXCLUSIONS AND LIMITATIONS OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO TO THAT EXTENT, IF ANY, SOME OR ALL OF THESE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

GENERAL RELEASE

If you have a dispute with another Registered User, you release www.mygenienetwork.com (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such dispute.

STATE SPECIFIC RELEASE

YOU HEREBY WAIVE CALIFORNIA CIVIL CODE §1542 (AND ANY ANALOGOUS LAW IN ANY OTHER APPLICABLE JURISDICTION) WHICH SAYS: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR."

NO RELIANCE; DUE INQUIRY

You affirm and agree that, given the general and “as-is” nature of the Site and the Content you are not specifically relying on any statements, or materials contained on the Site or in the Content to make any business decisions. Resource allocation and staffing matters are inherent complex and unique. Should you choose to continue your inquiry into whether MyGenie’s service is right for you, you will have an opportunity to make additional inquiry of MyGenie and you should make an independent investigation of the suitability of using MyGenie for your particular business needs. Only after such appropriate due diligence, thorough review of MyGenie’s service offering including the terms and conditions of MyGenie’s service agreements, and a through screening of any freelancer MyGenie proposes to you should you come to any conclusions or make any decisions about whether MyGenie, or any freelancer proposed by MyGenie is right for you and your specific project needs or requirements.

2. INFORMATION COLLECTION

www.mygenienetwork.com is an online digital platform that enables Employers to source and procure Technical Professionals. When you use the platform (Service), and register with www.mygenienetwork.com as a Professional or as an Employer, you provide certain personal information. As a Professional, you provide your name, contact details, financial information (to make and recieve payments), personal identification number (to help us complete tax obligations), skills, experience, education level, compensation (rate), work availability, and geographic region. When you use the Service, we may also collect information related to your use of the Service and aggregate this information with information about other users. This helps us improve our Services for you.

When you use our products and Services you may be asked to provide certain types of personal information. This might happen through our website, applications, online chat systems, telephone, or paper forms. We may request, collect, or process the following information:

  • Account Details – username, password, profile picture
  • Contact Details – email address, phone number, residential address

Mygenie site may also allow you to “like” or share content with social networking services.

Your interactions with third parties through a social networking service or similar features are governed by the respective privacy policies of those third parties. You represent that you are entitle to use your social networking service account for the purposes described herein without breach by you of any of the terms and conditions that govern the social networking service, and without obligating Mygenie to pay any fees or making Mygenie subject to any usage limitations imposed by such social networking service. You can disable the link between your Mygenie account and your social networking service account at any time through the “settings” section of our service. Please note that your relationship with any social networking service is governed solely by your agreements(s) with such social networking service. If your social networking service terminates, then functions enabled through the link between your Mygenie account and your social networking service account will terminate as well.

3. USE OF INFORMATION

The information we request, collect, and process is primarily used to provide users with the product or service they have requested. Where relevant under applicable laws, all processing of your personal information will be justified by a "condition" for processing. In most cases, processing will be justified on the basis that:

  • you have provided your consent for us to use your personal information for a specific purpose.

  • to maintain appropriate business records, to comply with lawful requests by public authorities and to comply with applicable laws and regulations or as otherwise required by law.

We will ask for your consent before using information for a purpose other than those set out in this Policy. Direct marketing:

  • We use your personal information to send you direct marketing communications about our products, services, or promotions from Mygenie that may be of interest to you or our related services. This may be via email, post, SMS, telephone, or targeted online advertisements.
  • In most cases our processing of your personal information for marketing purposes is based on our legitimate interest, although some cases (such as where required by law) will be based on your consent. You have a right to prevent direct marketing of any form at any time - this can be exercised by following the opt-out link attached to each communication or by sending an email to optout@mygenienetwork.com .
  • We take steps to limit direct marketing to a reasonable and proportionate level, and to send you communications which we believe may be of interest or relevance to you, based on the information we have about you.

4. DATA RETENTION

Unless you request that we delete certain information, we retain the information you submit to verify your identity for 30 days and we retain other information we collect for at least 5 years. Your information may persist in copies made for backup and business continuity purposes for additional time. If you choose to provide us with Personal Information, we encourage you to routinely update the data to ensure that we have accurate and up-to-date information about you.

5. INFORMATION SHARING AND DISCLOSURES

We provide your personal details to third parties, only in order to operate the Site, provide our services to you, fulfil obligations imposed on us by applicable laws and regulations, and prevent fraud, infringements and illegal activities, as detailed below. Our third-party service providers are bound by contract to only use your personal information on our behalf, under our instructions.

  • SMS providers
  • Payment and banking providers

Information about freelancers (genies) shared with Clients (Employers), Agencies, Payroll Vendors, Benefit Providers, other freelancers when there is a transaction involved (of buying or selling products). If you choose to view a job post and apply to a job post as a Freelancer via the platform, we may share relevant information with the applicable client(s) including, but not limited, the information contained in your profile.

Information about Clients and Agencies shared with freelancers, if you have entered into a service contract, we may provide him/her with your name, company address, billing address, or tax ID in order to compete the transaction or to facilitate the resolution of a claim or dispute.
